11. GOVERNING LAW; JURISDICTION AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria exclusive of its choice of law principles. The High Court shall have exclusive jurisdiction and venue over any dispute arising out of or relating to this Agreement, and each party hereby consents to the jurisdiction and venue of such courts.
12. GENERAL PROVISIONS
Severance: If any provision of this agreement is deemed void, unlawful or otherwise unenforceable for any reason, that provision shall be severed from this agreement and the remaining provisions of this agreement shall remain in force. This contains the entire agreement between you and NAIJA PHOTO STOCK concerning your use of the site, and the agreement shall not be modified, except in writing, signed by both parties.
Assignment and subcontracting: Naija Photo Stock may assign its rights and obligations under these Terms, including without limitation, any assignment resulting from any corporate reorganization, merger, sale of substantially all the assets to which these Terms relate. Your obligations under these Terms are personal and may be assigned only with Naija Photo Stock’s prior written consent. We may at any time assign our rights or any part of the same in this Terms of Use without your consent.

13. INDEMNIFICATION.
You agree shall defend, indemnity and hold harmless Naija Photo Stock from all damages, liabilities and expenses (including reasonable attorneys’ fees) arising out or as a result of claims by third parties relating to:
(i) Licensee’s use of any Licensed Material outside the scope of this Agreement;
(ii) any other actual or alleged breach by Licensee of this Agreement; or
(iii) Licensee’s failure to obtain any required release.
14. WAIVER
No action of either party, other than express written waiver, may be construed as a waiver of any provision of this Agreement. A delay on the part of either party in the exercise of its rights or remedies will not operate as a waiver of such rights or remedies, and a single or partial exercise by either party of any such rights or remedies will not preclude other or further exercise of that right or remedy. A waiver of a right or remedy on any one occasion will not be construed as a bar to or waiver of rights or remedies on any other occasion.

15. ENTIRE AGREEMENT.
This Agreement contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing and accepted in writing by an authorised representative of Users and Naija Photo Stock. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order or other communication sent by Licensee, the terms of this Agreement shall govern.
16. TAXES.
All payment made are exclusive of any applicable sales, use, withholding or other transactional taxes, which are the sole responsibility of the Purchaser (if any).
17. DISCLAIMER
The original, legally binding version of this legal notice is written in English, and it may be translated into other languages for the courtesy of our non-English-speaking users. If there are any discrepancies between the English version and a translated version, the English version supercedes the translated version
